Clarke Willmott advises on sale of B&A Group

National law firm Clarke Willmott LLP has advised on the sale of South West company B&A Group to Heidelberg Materials UK.

The acquisition was handled by the firm’s Bristol office, led by corporate partner Simon Thomas and assisted by solicitor Cormac Hayes. Bishop Fleming advised on financial aspects of the deal.

B&A Group (Bristol and Avon Transport) is one of the leading construction soil and aggregate recycling companies in South West England, offering a complete solution for intelligent materials management, land remediation, earthworks and sustainable land regeneration.

With over 50 years in the industry, B&A Group also supply recycled and primary aggregates and have become known for their work in the regeneration of Bristol and surrounding areas.

Heidelberg Materials UK is part of one of the largest building materials manufacturers in the world, and the deal is part of the business’ strategy to reach net zero by 2050, by conserving natural materials and promoting the circular economy by recycling, reusing and reducing the use of primary raw materials.

The deal adds a considerable recycling platform to Heidelberg Materials UK’s portfolio, supporting the development of innovative technologies for processing soils & construction waste and upgrading it for use in the construction cycle as a valuable material.

Clare Berkely, B&A Group Director, comments: “We are incredibly proud of the acquisition by Heidelberg Materials UK. We have built an exceptional business, and this acquisition represents a significant milestone in our journey so far. We are incredibly excited to move towards greater growth on a larger platform with our talented workforce and Heidelberg Materials.

Simon Thomas, partner and managing director of the commercial services division at Clarke Willmott, said: “We were delighted to be involved in this sale and to assist B&A and the Berkely family move to the next exciting chapter for the business.

“The diverse nature of the group’s business led to some interesting complexities in terms of structuring the deal, so we were really pleased to be able to work with the Bishop Fleming team to navigate through these and achieve a really positive result for Kevin, Clare, Aidan and the rest of the shareholders.
